Terms of Service

These terms are a contract between you and Short Bread Apps LLC ("we", "us") for the use of Clip or Die at clipordie.com, its API and MCP server (together, the "Service"). By creating an account or using the Service you agree to them. If you're using the Service for a company, you're agreeing on its behalf.

1. What the Service does

Clip or Die takes video or audio you point it at, transcribes it, selects moments, renders short vertical clips with captions and branding for you to download, and, when posting features are enabled for your plan, can schedule and publish those clips to social accounts you connect. It can be operated by you in the web app, by software through the API, or by an AI agent through our MCP server. Automated output can be wrong; you are responsible for what you publish.

3. Your content and your rights to it

You warrant that you have the rights to every source you add. That means the content is yours, you hold a license that permits clipping and republishing it, or the rights holder has approved you to clip it (for example through a creator campaign). You must label each source's rights class honestly. Sources marked "unknown" may be clipped into your private bank but will not be posted.

Do not re-upload other people's content without permission. The Service is not a re-upload tool. Platforms now penalize unoriginal content and we will refuse, suspend or remove sources and accounts that are used to republish third-party material without rights.

You keep ownership of your sources and the clips we make from them. You grant us a limited license to store, process, transcribe, render and transmit your content solely to provide the Service, and to keep backups. We do not use your content to train AI models.

You are solely responsible for complying with the terms of every platform you connect (YouTube, TikTok, Instagram, Facebook, X, LinkedIn, Threads, Pinterest and any others), including their originality, disclosure and spam rules. When posting features are enabled for your plan, connecting an account means you authorize us, through our posting partners, to publish to it on your instructions. Phase 1 plans are clip-and-download; auto-posting is rolling out later.

4. Acceptable use

You may not use the Service to: infringe anyone's copyright, trademark, privacy or publicity rights; publish unlawful, defamatory, harassing or sexually explicit material involving minors; circumvent platform rules, bans or rate limits; build or operate spam or engagement-fraud networks; probe or disrupt our systems; or resell the Service without a written agreement. We may suspend or terminate accounts that break these rules, with or without notice, and we may remove content.

API and MCP access is included with paid plans and subject to the same limits. We may rate-limit, change or deprecate endpoints with reasonable notice (breaking changes are versioned). Don't share one key across unrelated customers; create a workspace per client.

7. Third-party services

We rely on third parties to run the Service, including Amazon Web Services (hosting, storage, authentication), Stripe (payments), Upload-Post (social publishing), and AI providers for transcription and selection. Their availability affects ours. Posting results depend on the platforms, which may reject, delay or remove posts for reasons outside our control.

8. Availability and support

We aim for high availability but don't promise uninterrupted service. We may change features over time. Support is by email at support@clipordie.com.

9. Termination

You can delete your account at any time by emailing support. We may suspend or terminate your access for breach of these terms, legal risk, or prolonged non-payment. After termination we may delete your content after a reasonable grace period.

10. Disclaimers

The Service is provided "as is" and "as available". We disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. Clip scores and predictions are estimates, not promises of performance. We don't guarantee any platform will accept, distribute or monetize your posts.

11. Limitation of liability

To the fullest extent allowed by law, Short Bread Apps LLC is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim. Some jurisdictions don't allow these limits, so they may not fully apply to you.

12. Indemnity

You will defend and indemnify us against claims arising from your content, your sources, your use of connected accounts, or your breach of these terms, including claims that you lacked rights to material you clipped or posted.

13. Governing law and disputes

These terms are governed by the laws of the State of Tennessee, USA, without regard to conflict-of-law rules. Disputes will be brought in the state or federal courts located in Williamson County, Tennessee, and you consent to their jurisdiction. Either party may seek injunctive relief for misuse of intellectual property.

14. Changes

We may update these terms. Material changes will be announced by email or in the app at least 14 days before they take effect. Continued use after that date means you accept the new terms.
